Terms and conditions
These Terms and Conditions (the “Terms”) form a legally binding agreement between you and Bismillah Establishment (BEST) International USA, Inc. d/b/a CrewLocator (“CrewLocator” or “we”). They govern your access to and use of the CrewLocator Platform (the “Platform”) including our websites, mobile applications and any related services or communications. By accessing or using the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, do not use the Platform.
1. The CrewLocator Platform
CrewLocator operates a digital marketplace that allows professional pilots and flight crew members (“Pilots“) and corporate aircraft operators or flight departments (“Operators“) to connect and arrange aviation services. CrewLocator is not an aviation services provider. We do not employ Pilots or operate aircraft. The Platform acts only as a venue where Operators and Pilots can communicate, submit requests, bid on services and enter into their own contracts.
- Independent relationship. Pilots provide aviation services as independent contractors; they are not employees, agents, partners or joint ventures of CrewLocator. Operators and Pilots are solely responsible for the aviation services they agree to perform.
- No endorsement or control. CrewLocator does not supervise, direct or control the work performed by Pilots, nor do we endorse or guarantee the quality or legality of any services. We may perform basic identity or licence checks, but we cannot guarantee that users are who they claim to be and we are not liable for the actions or omissions of any user.
2. Eligibility and User Responsibilities
By using the Platform, you represent and warrant that:
- You are at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into binding contracts.
- You have the authority to enter into these Terms on behalf of yourself or the company you represent.
- You will provide accurate, current and complete information during registration and keep your account information up to date.
- You will act professionally and treat other users with respect; you will not defame, harass or threaten others or violate their privacy.
- You will comply with all applicable laws and regulations when using the Platform and when providing or obtaining aviation services.
3. Accounts and Security
To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use or security breach. We may suspend or terminate your account if we have reason to believe it is compromised or that you have violated these Terms.
4. Service Agreements Between Users
When an Operator posts a crew request and a Pilot accepts it, the parties form a separate Service Agreement. The terms of that Service Agreement include the details agreed through the Platform (such as dates, locations, pay and duties) and any other contractual provisions you negotiate, provided they do not conflict with these Terms or expand CrewLocator’s obligations. CrewLocator is not a party to Service Agreements. We are not responsible for ensuring payment or performance by either party, and we do not create an employment relationship between Operators and Pilots.
4.1 Fees and Payment
- CrewLocator fee. CrewLocator may charge Operators a fee for connecting them with Pilots. The fee is earned once the Operator selects a Pilot via the Platform and is payable upon invoice. Fee amounts may vary and will be disclosed before you submit a crew request.
- Pilot fees. Pilots and Operators set their own service rates. Pilots invoice Operators directly and are responsible for collecting their own payment. CrewLocator does not collect or remit payment on behalf of Pilots, nor are we responsible for taxes or withholdings owed by either party.
4.2 Taxes
Users are responsible for determining and paying any taxes, duties or similar charges related to the aviation services they provide or receive. CrewLocator may collect certain tax information where required by law and may issue receipts or other documentation for tax reporting purposes.
5. Acceptable Use and Prohibited Conduct
You may only use the Platform for lawful purposes relating to aviation services. Prohibited activities include, but are not limited to:
- Uploading or transmitting defamatory, obscene, abusive, harassing or unlawful content, or content that infringes another’s rights;
- Distributing malicious software or attempting to harm the Platform or other users;
- Using the Platform to advertise unrelated goods or services or to conduct surveys, contests or spam;
- Impersonating another person, using multiple accounts without permission or otherwise misrepresenting your identity;
- Data scraping, data mining or using automated systems to extract information from the Platform;
- Violating any applicable law or regulation.
We reserve the right to remove content or suspend accounts that violate these Terms or otherwise threaten the integrity of the Platform.
6. User Content
Users may submit content such as profiles, ratings, messages and documents (“User Content“). You retain ownership of your User Content but grant CrewLocator a non‑exclusive, worldwide, royalty‑free licence to use, display and distribute it for the purpose of operating and promoting the Platform. You are solely responsible for your User Content and warrant that it is accurate, lawful, non‑infringing and does not contain viruses or other harmful code. CrewLocator does not routinely monitor User Content but may remove or disable any content that violates these Terms or applicable law.
7. Intellectual Property
The Platform and all content provided by CrewLocator, including logos, designs, text, graphics and software, are the property of CrewLocator or its licensors and are protected by copyright and other intellectual‑property laws. You may not copy, modify, distribute or create derivative works from our content without our express permission. Nothing in these Terms grants you ownership of any intellectual‑property rights in the Platform.
8. Third‑Party Links and Services
The Platform may include links to third‑party websites or services. Such links are provided for convenience and do not imply endorsement by CrewLocator. We have no control over third‑party sites and are not responsible for their content, privacy policies or practices. You access third‑party sites at your own risk.
9. Disclaimers
The CrewLocator Platform is provided “as is” and “as available”. To the fullest extent permitted by law, CrewLocator disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non‑infringement. We do not warrant that the Platform will be uninterrupted, secure or error‑free, or that any information provided is accurate or complete. CrewLocator is not responsible for the acts or omissions of any user, nor do we endorse or guarantee any Pilot or Operator.
10. Limitation of Liability
To the extent permitted by law, CrewLocator shall not be liable for any indirect, consequential, special or punitive damages arising out of or in connection with your use of the Platform, even if we have been advised of the possibility of such damages. Our aggregate liability to you for any claim relating to the Platform will not exceed the total fees, if any, you have paid to CrewLocator in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless CrewLocator, its directors, employees and agents from and against all claims, damages, losses and expenses (including reasonable legal fees) arising out of or in connection with: (i) your use of the Platform; (ii) any service agreement you enter into with another user; (iii) your violation of these Terms or any applicable law; or (iv) your User Content.
12. Termination
You may stop using the Platform at any time. CrewLocator may suspend or terminate your account if you violate these Terms or if we believe it is necessary to protect the security or integrity of the Platform. Termination does not relieve you of any outstanding obligations owed to other users or to CrewLocator. Sections intended to survive termination, including intellectual property, limitations of liability and indemnification, will continue to apply.
13. Changes to the Terms
We may modify these Terms at any time. If we make material changes, we will provide notice via the Platform or by email. Your continued use of the Platform after the updated Terms take effect constitutes your acceptance of the changes.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York, United States. Any disputes arising from or relating to these Terms or your use of the Platform will be subject to the exclusive jurisdiction of the courts located in New York County, New York. Before filing a claim, you agree to contact us and attempt to resolve the dispute informally. Nothing in this clause limits your statutory rights under applicable consumer protection laws.
